Karma Terms and Conditions

Welcome to Karma Tickets, Inc. (“Karma,” “we,” “our,” or “us”). These Terms and Conditions (“Terms”) govern your use of the Karma website, mobile application, and related services (collectively, the “Platform”). By creating an account or using Karma in any way, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree to these Terms, please do not use the Platform.

1. About Karma

Karma is a loyalty-based ticketing and fan-access platform that enables artists, venues, and fans to connect directly. Through the Platform, registered users can link their digital streaming provider (DSP) account, authorize Karma to access select listening data, participate in tiered ticket access, merchandise sales, and exclusive artist experiences, and manage ticket purchases, preferences, and fan rewards. Karma partners with artists, labels, and venues to offer transparent access to live experiences and exclusive benefits while reducing scalping and improving fan engagement.

2. Eligibility

You must be at least 13 years old (or the minimum age of digital consent in your country of residence) to use Karma. If you are under 18 years old, you may use the Platform only with the supervision and consent of a parent or legal guardian, who agrees to be bound by these Terms. By using Karma, you represent and warrant that you meet the age requirements, all registration information you provide is accurate, and you have not been previously suspended or removed from the Platform.

3. Account Registration

You may need to create an account to access certain features. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account. You agree to notify Karma immediately of any unauthorized use or suspected breach of security. Karma reserves the right to suspend or terminate your account at any time for violation of these Terms.

4. Connecting Your Streaming Account

When you link your DSP account, you authorize Karma to securely access limited information such as listening activity and artist engagement metrics, public profile data, and other data necessary to calculate loyalty tiers and rewards.

Karma uses this information solely to generate personalized loyalty tiers, provide access to ticket sales, merch drops, and artist experiences, and produce aggregated or anonymized insights for participating artists and partners.

You can disconnect your DSP account at any time in your settings. Disconnecting may limit or remove access to certain loyalty features.

5. User Conduct

You agree not to use the Platform for unlawful, deceptive, or abusive purposes; attempt to manipulate loyalty tiers, purchase tickets using bots or scripts, or resell access; interfere with the Platform's security; or reproduce or distribute Karma software or content without authorization.

Karma reserves the right to investigate and suspend any account suspected of violating these Terms.

6. Ticketing, Merch, and Payments

Karma facilitates access to tickets, merchandise, and other artist offers. All transactions are processed by approved third-party payment providers. By completing a transaction, you agree to their terms. All sales are final unless otherwise stated. Karma may charge service or processing fees disclosed before checkout and is not responsible for cancellations, refunds, or disputes related to third-party venues or promoters.

7. Intellectual Property

All content on the Platform, including the Karma name, logo, designs, software, and trademarks, is owned or licensed by Karma. You are granted a limited, non-exclusive, revocable license to use the Platform for personal, non-commercial purposes. Artist names and content remain the property of their respective owners.

8. Privacy and Data Use

Please review our Privacy Policy for details on how we collect, use, and protect your personal information. Karma does not sell or share personal streaming data with unrelated third parties and only shares anonymized insights with artists and partners.

9. Third-Party Services

Karma integrates with DSPs, payment processors, and other third-party services. We are not responsible for their availability or content, and your use of them is subject to their own terms and privacy policies.

10. Disclaimers

Karma is provided on an “as is” and “as available” basis. We make no warranties or representations regarding the Platform's availability, reliability, or suitability. To the maximum extent permitted by law, we disclaim all warranties, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

11. Limitation of Liability

To the fullest extent permitted by law, Karma and its affiliates, officers, and employees will not be liable for any indirect or consequential damages arising from your use of the Platform. Our total liability to you shall not exceed the greater of (a) the amount paid by you in the preceding twelve months, or (b) $100 USD.

12. Indemnification

You agree to indemnify and hold harmless Karma, its affiliates, officers, employees, partners, and licensors from any claim or expense arising out of your misuse of the Platform, violation of these Terms, or infringement of third-party rights.

13. Termination

Karma may suspend or terminate your access at any time for conduct that violates these Terms or is harmful to other users, Karma, or third parties. Upon termination, your right to use the Platform will immediately cease, and certain provisions shall survive termination.

14. Changes to These Terms

We may update these Terms periodically. The “Last Updated” date reflects the latest revision. Continued use after changes means you accept the updated Terms.

15. Governing Law and Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to its conflict of law principles. Any dispute arising out of or relating to these Terms will be resolved exclusively in the state or federal courts located in Wilmington, Delaware, and each party consents to the personal jurisdiction and venue of such courts.

16. Miscellaneous

These Terms and our Privacy Policy constitute the entire agreement between you and Karma. If any provision is found unenforceable, the rest remain effective. You may not assign these Terms without our consent.
